TERMS OF SERVICE FOR DROPFOODS WEBSITE AND MOBILE APPLICATION

I. General Principles

The Dropfoods website and mobile application are owned and operated by SugarV Co., Ltd., responsible for managing transactions related to the purchase of essential consumer products. The service is available to all customers within Ho Chi Minh City who wish to shop online and receive home deliveries.

All products sold on the Dropfoods website and mobile application must fully comply with the relevant legal regulations, and no counterfeit, unverified origin, or imported goods without official channels will be sold.

Transactions conducted on the platform must be transparent, ensuring the protection of consumer rights.

II. General Provisions

Website Domain:

The website www.dropfoods.com is developed and managed by SugarV Co., Ltd., with the transactional domain being www.dropfoods.com (hereinafter referred to as "Dropfoods Website").

Mobile Application:

The Dropfoods mobile application is developed by SugarV Co., Ltd., under the name "Dropfoods."

 

Definitions:

Seller SugarV Co., Ltd.

Buyer Vietnamese or foreign citizens residing in Ho Chi Minh City, who may register for an account or make purchases without registration.

Members Includes both buyers and individuals browsing information, participating in discussions on the website or mobile application.

These Terms comply with the prevailing laws of Vietnam. Members using the Dropfoods Website and mobile application must understand and comply with their legal obligations and commit to adhering to these Terms.

 

III. Transaction Process

1. For Buyers on the Dropfoods Website and Mobile Application:

Step 1: Locate a nearby sales location.

Step 2: Search for the desired product.

Step 3: Review product details and pricing. If you agree to proceed, select the quantity and click “purchase.”.

Step 4: Provide complete ordering information:

If you have a discount code, you can enter it on the order screen for an accurate final price.

Payment can be made upon delivery, via the Dropfoods app account, or through the VNPay payment gateway.

Step 5: After the order is placed, Dropfoods will contact the customer via the provided phone number using the hotline +84-96 246 4242 (call fee 1,000 VND/min) to confirm the order.

Step 6: Dropfoods delivers the goods to the customer’s address (only applicable within Ho Chi Minh City).

2. For Sellers (Dropfoods)

Prepare and upload product content, including actual images or manufacturer-provided images, along with detailed descriptions and product specifications.

Use the internal management tools provided to Dropfoods employees for data entry.

IV. Payment Process

Option 1: Cash on Delivery (COD):

Step 1: The buyer reviews product information posted on the Dropfoods Website or app.

Step 2: The buyer confirms the order (via phone, message, or email).

Step 3: Dropfoods verifies the buyer's information.

Step 4: Dropfoods ships the goods.

Step 5: The buyer receives the goods and pays in cash.

 

Option 2: Prepayment via Dropfoods Account or VNPay:

Step 1: The buyer reviews product information posted on the Dropfoods Website or app.

Step 2: The buyer confirms the order (via phone, message, or email).

Step 3: The buyer completes an online payment through the VNPay gateway or using the balance in their Dropfoods app account.

Step 4: Dropfoods ships the goods.

Step 5: The buyer receives the goods.

V. Transaction Security

Dropfoods management team has implemented measures to protect the information associated with products posted on the Dropfoods Website and mobile application. To ensure successful transactions and minimize risks, buyers are advised to provide accurate contact information (name, address, phone number, email) when making purchases. In the case of home deliveries, buyers should inspect the goods before making any payments to ensure satisfaction with the product.

When making online payments using the Dropfoods app account or a bank card (VISA/Mastercard), buyers should process the payment themselves and avoid disclosing payment information. Dropfoods does not store card details after payment, and all transactions are handled through a secure third-party payment gateway.

If any issues arise during the online payment process, Dropfoods will resolve them within one hour of receiving the complaint from the buyer. 

VI. Protection of Personal Information

Dropfoods is committed to safeguarding your personal information. Please refer to our "Privacy Policy" for detailed information on our commitments to respecting and protecting your privacy:

1. Purpose and Scope of Data Collection

To access and use certain services on the Dropfoods Website and mobile app (such as placing orders, leaving reviews, or contacting us), you may be required to provide personal information (Email, Full Name, Phone Number, Address, etc.).

All provided information must be accurate and legal. Dropfoods is not responsible for any legal liabilities arising from inaccurate or unlawful information.

2. Scope of Use

Personal data collected will be used to contact users directly, process orders, send notifications, resolve complaints, and for promotional purposes as per the terms of this "Privacy Policy."

3. Data Retention Period

Collected data will be stored until a deletion request is made. Otherwise, personal data will be retained securely on Dropfoods' servers.

4. Customer Data Access and Correction

Users can access and modify their personal information through the account management

section of the Dropfoods Website or by contacting Dropfoods directly.
5. Commitment to Personal Data Security

Dropfoods is fully committed to ensuring the confidentiality of users' personal information as outlined in this policy. Information will not be shared or disclosed to third parties without the explicit consent of the user, except in cases required by law.

6. Commitment to protect customer personal information

Personal information of users on the Dropfoods Website and Mobile Application is committed by Dropfoods to be absolutely confidential according to Dropfoods's personal information protection policy. The collection and use of information of each user is only carried out with the consent of that customer, except in cases where the law provides otherwise.

Do not use, transfer, provide or disclose to any third party any personal information of a user without the consent of that user.

In case the server storing information is hacked, leading to the loss of personal data of members, Dropfoods will be responsible for reporting the incident to the authorities for timely investigation and notification to the users.

Absolute security of all online transaction information of users including accounting invoice information digital documents in Dropfoods' level 1 secure central data area.

Dropfoods management requires users to provide full relevant personal information when purchasing such as: Full name, contact address, email, phone number, account number, payment card number, etc., and is responsible for the legality of the above information.

Dropfoods Management is not responsible for and will not resolve any complaints related to the rights of that user if it is determined that all personal information initially provided is inaccurate.

VII. Managing bad information

Membership Rules

Members will be responsible for the security and retention of all activities using the service under their registered name and password. Members are responsible for promptly notifying Dropfoods of any unauthorized use, abuse, security breach, or retention of third-party registered names and passwords for appropriate action.

Members are not allowed to change, edit, assign, copy, disseminate, distribute, provide and create similar tools of the service provided by the Dropfoods Website and Mobile Application to a third party without the consent of Dropfoods in this Regulation.

Members are not allowed to act in any way that damages the reputation of the Dropfoods Website and Mobile Application, such as causing disunity among members by using a second registered name, through a third party, or propagating and disseminating information that is not beneficial to the reputation of the Dropfoods Website and Mobile Application.

VIII. Liability in case of technical errors

Dropfoods is committed to making every effort to ensure the safety and stability of the entire technical system. However, in the event of an incident due to errors in the Dropfoods Website and Mobile Application, Dropfoods will immediately take measures to ensure the rights of the buyer.

When making transactions on the Dropfoods Website and Mobile Application, users must follow the instructions correctly.

Dropfoods Management Board is committed to providing the best service quality for users participating in transactions. In case of technical errors, software errors or other objective errors that prevent users from participating in transactions, members should notify the Management Board via email: contact@dropfoods.com or via Hotline +84-96 246 4242 (fee 1,000 VND/minute - Working hours from 8:00 - 17:00) we will fix the error as soon as possible.

However, Dropfoods Management Board will not be responsible for resolving cases where the user's notification does not reach the Management Board, arising from technical errors, transmission errors, software errors or other errors not caused by the Management Board.

IX. Rights and obligations of the Website and Mobile Application Management Board Dropfoods

1. Rights of Dropfoods Management Board:

Dropfoods Website and Mobile Application will provide services and products to customers after completing the required procedures and conditions stated.    

Dropfoods will develop service policies on the Website and application. These policies will be published on www.dropfoods.com and the Dropfoods application.

In case there is a basis to prove that the member provides information to the Dropfoods Website and Mobile Application that is inaccurate, misleading, incomplete or shows signs of violating Vietnamese law or customs, Dropfoods has the right to refuse, suspend or terminate the member's right to use the service. 

Dropfoods may terminate a member's membership and right to use one or all of the member's services in the event that the member violates the Regulations of the Dropfoods Website and Mobile Application or has behaviors that affect business activities on the Dropfoods Website and Mobile Application. 

Dropfoods may immediately terminate a member's right to use the service and membership if Dropfoods discovers that the member has become bankrupt, has been convicted or is serving a sentence, in which case the member's continued activity may cause damage to the Dropfoods Website and Mobile Application.

Dropfoods is legally responsible for any fraudulent, counterfeit, market-disrupting, or disunity-causing activities among other members of the Dropfoods Website and Mobile Application.

Dropfoods, activities violate current laws of Vietnam. 

In the event of termination of membership and service usage rights, all certificates and membership rights granted will automatically expire and be terminated.

Dropfoods Website and Mobile Application hold the copyright to use the services and contents on the Dropfoods Website and Mobile Application in accordance with the laws on intellectual property protection in Vietnam. All logos and contents in different languages ​​are owned by the Dropfoods Website and Mobile Application. Any act of copying, using and illegally disseminating the above ownership rights is strictly prohibited.

Dropfoods reserves the right to change the service price list and payment methods during the service provision period for members according to the needs and capabilities of the Dropfoods Website and Mobile Application and will notify members one (01) month in advance.

2. Obligations of Dropfoods Management Board

Dropfoods is responsible for building the service, including a number of main tasks such as: research, design, purchase of hardware and software equipment, Internet connection, building policies to serve the operation of the Dropfoods Website and Mobile Application under permitted conditions and scope.

Dropfoods will deploy and cooperate with partners in building a system of services and utility tools to serve users' transactions on the Dropfoods Website and Mobile Application.

Dropfoods is responsible for building and supplementing the system of knowledge and information about: foreign trade, e-commerce, domestic and international commercial legal documents, foreign markets, as well as news related to the operation of the website dropfoods.com and the Dropfoods application.

Dropfoods will conduct promotional activities, advertise the Website and Dropfoods Mobile Application to foreign markets within the permitted scope and conditions, contributing to expanding and connecting to meet the needs of finding partners and developing foreign markets of members participating in the Website and Dropfoods Mobile Application.

Dropfoods will try its best within its scope and conditions to maintain the normal operation of the Website and Dropfoods Mobile Application and to overcome problems such as: technical problems with machinery, software errors, internet transmission systems, personnel, social fluctuations, natural disasters, power outages, decisions of state agencies or a third party organization. However, if the above incidents occur beyond control, are force majeure events that cause damage to users, the Website and Dropfoods Mobile Application shall not be held jointly responsible.

Dropfoods must be responsible for:

Develop and implement a mechanism to ensure that information posted on the Dropfoods Website and Mobile Application is accurate.

Do not post information on the sale of goods and services on the list of prohibited goods and services as prescribed by law and restricted goods as prescribed in Circular 47/2014/TT-BCT.

X. Rights and responsibilities of members participating in the website and application

1. Rights of Dropfoods Website and Mobile Application Members

When registering to become a member of the Dropfoods Website and Mobile Application and being approved by Dropfoods, members will be able to participate in discussions, evaluate products, and make purchases on the Dropfoods application.

Members have the right to contribute ideas to the Dropfoods Website and Mobile Application during its operation. Suggestions can be sent directly by mail, fax or email to Dropfoods.

2. Obligations of Dropfoods Website and Mobile Application Members

Members shall be solely responsible for the security and retention of and all activities using the service under their registered name, password and email box.

Members commit that the information provided to the Dropfoods Website and Mobile Application and the information being uploaded to the Dropfoods Website and Mobile Application is accurate.

Members commit not to change, edit, copy, disseminate, distribute, provide and create similar tools of the services provided by the Website and Dropfoods Mobile Application to a third party without the consent of Dropfoods in this Regulation.

Members are not allowed to act in any way that damages the reputation of the Dropfoods Website and Mobile Application, such as causing disunity among members by using a second registration name, through a third party, or propagating and disseminating information that is not beneficial to the reputation of Dropfoods.

XI. Terms and Conditions

Any dispute arising between Dropfoods and members will be resolved on the basis of negotiation. In case of failure to reach the desired agreement, either party has the right to bring the case to the competent People's Court in Ho Chi Minh City for resolution.

QuThe Regulations of the Dropfoods Website and Mobile Application officially come into effect from the date of signing the Decision (August 6, 2020) issued with this Regulation. Dropfoods has the right and can change this Regulation by notifying the members on the Website and the Dropfoods Mobile Application. The amended Regulations come into effect from the date the Decision on amending the Regulations comes into effect. The member's continued use of the service after the amended Regulations are published and implemented means that they have accepted this amended Regulation.
